Panasonic PC Measure Utility is a distance measuring application used exclusively on Panasonic personal computer with a built-in 3D camera. This application can be used to measure the distance between two specified points, the length of a traced line, and the size of an area within a encircled range, from a distant location. You can save the results of measurement obtained using this application together with the image in a file and perform measurements later again by loading the data saved in the file. You can upgrade this application to Pro version, by activating the license. Term of use LICENSE AGREEMENT THE SOFTWARE PROGRAM(S) (“PROGRAMS”) ARE LICENSED ONLY TO THE END-USER (“YOU”), AND MAY BE USED BY YOU ONLY IN ACCORDANCE WITH THE LICENSE TERMS DESCRIBED BELOW. BY USING THE PROGRAMS, YOU ACCEPT THE TERMS OF THIS AGREEMENT. LICENSE A. Panasonic Corporation hereby grants You a personal, non-transferable (except as further described regarding permitting employees to use the Programs below) and non-exclusive right and license to use the Programs and documentation (“Materials”) in accordance with the terms and conditions stated in this Agreement. Subject to Panasonic’s express consent, You may permit Your employees to use the Programs as long as you ensure that Your employees adhere to the terms and restrictions in this Agreement. You acknowledge that you are receiving only a LIMITED LICENSE TO USE the Materials and that you shall not obtain any title, ownership or any other rights in or to Materials, or in or to any algorithms, concepts, designs and ideas represented by or incorporated in Materials. For the purpose of clarity, Panasonic or its suppliers shall retain all title, ownership, and any other rights to the Materials. B. The purpose and use of the Programs is set forth in a manual to which Panasonic will provide the access to you separately (“Manual”), and which describes information including specifications of Programs, restrictions, and/or limitations to be complied with to use Programs safely. You may use the Programs only in accordance with the purpose and use set forth in the Manual. Please read the Manual carefully before using the Program. You assume sole responsibility for using the Programs, including its installation and Your decision to select the Programs to achieve your desired results, regardless of the actual results obtained therefrom. C. Your use of the Programs shall be contingent on Your ability to successfully activate the Programs. You must activate the Programs to gain access to them. When you activate the Programs by accessing Panasonic’s server, including servers that Panasonic Corporation rents or otherwise controls (“Our Server”) with the use of your registered key (“License Key”), your Programs will be enabled to be used on the device that you use to activate the Programs (“Your Device”). You may use the Programs only on Your Device. In the event you need to re-activate the Programs on Your Device for any reason, you must re-activate it only during the limited time that Our Server is deployed and made available. You are responsible for promptly activating the Programs on your device. Panasonic is not obligated or responsible for any cost or damage that arises from or relates to your failure to activate the Program promptly or during the time Our Server is active. It is possible that Panasonic may decide in the future to deactivate Our Server. If Panasonic does so, Panasonic will indicate its decision and the timeline for any de-activation on our support service website three months prior to doing so. Again, You are responsible for any costs or damages arising from or otherwise incurred in relation to Panasonic’s decision to de-activate Our Server. D. You are required to protect the confidentiality of the Programs and your License Key. You may not disclose, rent, assign, distribute or otherwise make the Programs, your License Key or related documentation available to any third party, by time-sharing or otherwise, for charge or free-of –charge, without the prior written consent of Panasonic Corporation. E. You may not copy or reproduce, or permit to be copied or reproduced, the Programs for any purpose. You may not remove any copyright, trademark or other notice from the Programs and you must reproduce and include any such notice on any copy of any Program. F. You shall not modify, or attempt to modify, the Programs. G. You may not use the Programs in any manner that violates or breaches any laws or regulations. H. YOU MAY NOT REVERSE ASSEMBLE, REVERSE COMPILE, OR MECHANICALLY OR ELECTRONICALLY TRACE THE PROGRAMS, OR ANY COPY THEREOF, IN WHOLE OR IN PART. I. You may not take any actions that would cause or threaten to cause a part or all of the Program to become subject to term that is applied to OSS, including, but not limited to, incorporating a part or all of the Program into OSS, or incorporate such software into the Program. ”OSS”means any software that is licensed under Open License Terms. “Open License Terms” means terms in any license that require as a condition of use, modification and/or distribution of a work the following: a) to make available source code or other materials preferred for modification, b) to grant permission for creating derivative works, c) to reproduce certain notices or license terms in derivative works or accompanying documentation, or d) to grant a license to any party under Intellectual Property Rights regarding the work and/or any work that contains, is combined with, requires or otherwise is based on the work. J. YOU AGREE THAT PANASONIC CORPORATION DOES NOT HAVE OBLIGATION TO UPDATE THE PROGRAM BUT MAY UPDATE THE PROGRAM WITHOUT NOTIFYING YOU IN ADVANCE. IN THE CASE WHERE PANASONIC PROVIDES YOU WITH UPDATES AND YOU FAIL TO PROMPTLY UPDATE THE PROGRAMS, SUCH FAILURE MAY RESULT IN MALFUNCTION OF THE PROGRAMS. PANASONIC IS NOT RESPONSIBLE FOR ANY COSTS OR DAMAGES RELATING TO SUCH FAILURES. EXCEPT AS OTHERWISE PROVIDED HEREIN, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PANASONIC PROVIDES MATERIALS “AS IS” AND WITH ALL FAULTS. PANASONIC HEREBY DISCLAIMS WITH RESPECT TO THE MATERIALS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES OR CONDITIONS OF OR RELATED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, NON INFRINGEMENT OF INTELLECTUAL PROPERTY, ACCURACY OR COMPLETENESS OF RESPONSES, RESULTS, WORKMANLIKE EFFORT AND LACK OF NEGLIGENCE. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE MATERIALS REMAINS WITH YOU. K. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PANASONIC, ITS AFFILIATES, ITS AGENTS, ITS EMPLOYEES OR ITS OFFICERS BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE MATERIALS, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS LIMITED USE LICENSE AGREEMENT, EVEN IN THE EVENT OF FAULT, TORT (INCLUDING NEGLIGENCE) STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF PANASONIC AND EVEN IF PANASONIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT PANASONIC CANNOT DISCLAIM ALL RESPONSIBILITY FOR USE OF THE MATERIALS, THE MAXIMUM LIABILITY THAT PANASONIC (INCLUDING THEIR DIRECTORS, OFFICERS AND AFFILIATES) MAY FACE SHALL BE LIMITED TO THE AMOUNT THAT YOU PAID TO PANASONIC FOR USE OF THE MATERIALS. TERM This license is effective only for so long as you own the Programs, unless earlier terminated. You may terminate this license at any time by destroying, at your expense, Materials. Panasonic may terminate this Agreement effective immediately if you fail to comply with any term or condition contained herein. Upon any such termination, you agree to destroy, at your expense, Materials together with all copies thereof in any form. Panasonic’s license to you is also contingent on You agreeing to be bound by, and adhering to, the LIMITED USE LICENSE AGREEMENT (PC). In the event of a conflict between this Agreement and LIMITED USE LICENSE AGREEMENT (PC) or other agreements executed between Panasonic and You prior to the execution of this Agreement, this agreement prevails. However, if the Programs contain OSS licensed under the terms and condition known as GPL (GNU General Public License) or GNU LESSER General Public License (LGPL), the terms and conditions of GPL and/or LGPL prevail in the case of conflict between this Agreement and them. You must comply with all domestic and international export laws and regulations that apply to the PROGRAMS. These laws may include restrictions on destinations, end users and end use. It is your responsibility to ensure that you are legally allowed to use the PROGRAMS where you are located. This Agreement shall be governed by the laws of Japan. The place of jurisdiction shall be Tokyo, Japan. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN PANASONIC AND YOU, RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
